Webex Connect Sandbox for Developers Terms of Service

These Webex Connect for Developers Terms of Service ("Terms of Service") govern your (i) access to and use of the Webex Connect developer sandbox platform ("Developer Sandbox"), (ii) use of the online Services (as defined below) provided at the Developer Sandbox. By accessing and using the Developer Sandbox and Services, you agree to be bound by the Terms of Service with Cisco Systems, Inc. ("Cisco"). If you are accepting the Terms of Service on behalf of an entity, you represent that you have the authority to do so (either you or the entity (if you are signing for an entity), "You" or "Your").

1. Webex Connect Developer Sandbox

The Webex Connect Developer Sandbox, available at https://sandbox.imiconnect.io/, is a product developed by Cisco to provide prospective users of Webex Connect with access to (i) Webex Connect APIs, SDKs, Visual Flow Builder, Bot Builder, phone numbers for sending and/or receiving messages and calls, and other capabilities and (ii) related guides, product support, and product documentation; (collectively, "Services"). You can use these Services to develop and test solutions for prototyping purposes at volumes specified by Cisco.

2. Licenses

2.1 Cisco grants You a non-exclusive, non-transferable, non-sublicensable license to use the Services subject to such limitations as Cisco places on volumes, throughput and functionality.

2.2 Your use of the Webex Connect SDKs available at https://sandbox.imiconnect.io/ is subject to the MIT License located at https://github.com/webex/spark-java-sdk/blob/master/LICENSE.

2.3 Your use of the of the Artificial Intelligence feature dependencies included with the Webex Connect Video SDK is subject to the Cisco End User License Agreement located at https://www.cisco.com/c/dam/en_us/about/doing_business/legal/eula/cisco_end_user_license_agreement-eng.pdf.

3. Trademarks

3.1 Cisco™, IMI ™, IMImobile™, Webex™, Cisco Webex™, Webex Connect™, Cisco Webex Meetings™, Cisco Webex Teams™, the IMImobile, Cisco Webex logo and the Webex Connect, Cisco Webex Meetings logo and the Cisco Webex Teams logo ("Cisco Trademarks") are trademarks and/or registered trademarks of Cisco and/or its affiliates. All third party trademarks and logos referenced are property of their respective owners. The appearance of third party trademarks on the Developer Sandbox does not constitute an endorsement, sponsorship or recommendation thereof by Cisco or its affiliates.

4. Use of Data

4.1 Cisco will use all Developer Data (as defined below) You or anyone acting on Your behalf provides or transfers to Cisco in accordance with these Terms of Service and the Cisco Online Privacy Statement located at https://www.cisco.com/c/en/us/about/legal/privacy-full.html. "Developer Data" means any data provided or generated by You when using the Services.

4.2 You shall not collect or store any Cisco end-user data collected, uploaded, posted, transmitted or otherwise made available via the Services relating in any way to the end-user’s use of Cisco offerings, including messages, files, profile information (“Webex Connect Data”) without the end-user’s authorization. You acknowledge that Cisco may collect, and process Webex Connect Data as agreed upon between Cisco and Cisco’s end-users, including as set forth in Cisco’s Online Privacy Statement and applicable Privacy Data Sheets. Cisco shall not be liable for any Webex Connect Data collected, retained, or otherwise processed by You.

4.3 Cisco is not responsible for anything submitted by You or any data of other users of the Services (“Others’ Data”) as a result of your access to the Developer Sandbox and use of the Services or for modifying or removing Developer Data or Others' Data from the Services.

5. Ownership

5.1 You retain all right, title and interest in and to Your solutions. We may use Your solutions solely as required in connection with Your use of the Services.

5.2 Cisco or its licensors retain ownership in all intellectual property rights to the Services and Developer Sandbox and their underlying technology, software, patents, know-how and associated documentation, in whole or in part, including all improvements, enhancements, modifications and derivative works, and any data owned by Cisco ("Cisco Data") except for Developer Data and Others' Data. Cisco reserves all rights to the Services that are not expressly granted under these Terms of Service.

6. Feedback

We welcome Your ideas, suggestions, documents, and/or proposals ("Feedback") about the Services and look for ways to implement them wherever possible. By submitting Feedback to Cisco, You acknowledge and agree that: (a) Your Feedback does not contain confidential or proprietary information; (b) Cisco is under no obligation of confidentiality, express or implied, with respect to the Feedback; (c) Cisco shall be entitled to use or disclose such Feedback for any purpose, in any way, in any media, worldwide; (d) Cisco may already be developing a solution or solution component related to the Feedback; (e) Your Feedback becomes the property of Cisco without any obligation to You; and (f) You are not entitled to any compensation for such Feedback.

7. Your Obligations

7.1 Your use of the Developers Sandbox and Services is subject to compliance with the Webex Connect Acceptable Use Policy.

7.2 You are responsible for knowing and complying with all applicable laws and regulations related to messaging for messages or calls sent via the Services.

7.3 You may not use the Services to advertise, promote, endorse, or market, directly or indirectly, any products, services, offerings, solutions, or other technologies that, in Cisco's sole discretion, compete with the products, services, offerings, solutions or technologies of Cisco.

7.4 You will not sell, resell, distribute, rent, or lease the Services, include the Services in an outsourced or service bureau offering, or otherwise commercialize the Services.

7.5 You may not use any Cisco Data or Others' Data from the Developer Sandbox or Services in any advertisements or for purposes of targeting advertisements.

7.6 You may not use contact information of other users of the Developer Sandbox and Services to contact such users outside of the Developer Sandbox or Services without their consent.

7.7 You represent and warrant that (i) You are 13 years or older; (ii) You own or have the necessary rights and licenses to use any 3rd party services used in conjunction with the Services provided by Cisco as provided under these Terms of Service.

7.8 You acknowledge and agree that your use of the Services does not create or imply any affiliation or partnership with Cisco.

7.9 You acknowledge and agree that Cisco is not responsible for Your conduct or the conduct of any other user of the Developer Sandbox and Services.

7.10 You will provide true and accurate information in Your user registration.

7.11 You are solely responsible for Your interactions with other users of the Services.

7.12 You will have a privacy policy that meets applicable legal standards and accurately describes Your collection, use, storage and sharing of Cisco Data or Others' Data.

8. Cisco's Rights

Cisco may amend the Terms of Service from time to time. If You do not agree with such changes, You should discontinue using the Services. Your continued use of the Services will mean that You agree to such changes to the Terms of Service.

9. Support

10. Disclaimer of Warranties

CISCO PROVIDES THE DEVELOPER SANDBOXAND SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL EXPRESS AND IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SATISFACTORY QUALITY, NON-INTERFERENCE, AND ACCURACY, ARE HEREBY EXCLUDED AND EXPRESSLY DISCLAIMED BY CISCO. CISCO DOES NOT WARRANT THAT THE DEVELOPER SANDBOX AND SERVICES ARE SUITABLE FOR YOUR USE, AND NO SERVICES THAT YOU RECEIVE FROM THE DEVELOPER SANDBOX SHALL CREATE ANY WARRANTY.

11. Indemnity

You agree to defend, indemnify and hold Cisco, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, action or demand (including reasonable attorneys' fees) any third party may have arising out of or related to: (i) Your use of and access to the Developers Sandbox or Services; (ii) Your breach of these Terms of Service; (iii) Your improper use of Cisco Trademarks; and (iv) Developer Data.

12. Limitation of Liability

EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL CISCO BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFIT DAMAGES, COSTS OF REPLACEMENT GOODS OR LOSS OF OR DAMAGE TO DATA ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OR INABILITY TO USE THE DEVELOPER SANDBOX OR SERVICES, OR THE IMPROPER USE OF CISCO TRADEMARKS, EVEN IF CISCO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, CISCO'S LIABILITY TO YOU FOR ANY CAUSE(S) WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO ONE THOUSAND UNITED STATES DOLLARS (USD $1,000.00). THIS LIMITATION OF LIABILITY IS CUMULATIVE AND NOT PER INCIDENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN KINDS OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Term and Termination

The Terms of Service start on the date You begin using the Developer Sandbox and Services and end when Your use of the Developer Sandbox and Services are discontinued. Cisco may modify or terminate the Services or stop maintaining the Developer Sandbox at any time and without notice. Cisco may immediately suspend or terminate Your access to the Developer Sandbox and Services if You violate or otherwise fail to comply with these Terms of Service. The following Sections survive any termination of these Terms of Service: 3.1, 4-8 and 10-15

14. Export

The Services are subject to local and extraterritorial export control laws and regulations. Cisco and You agree to comply with such laws and regulations governing use, export, re-export, and transfer of Services and will obtain all required local and extraterritorial authorizations, permits or licenses.

15. General

These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of California, excluding its conflict of laws provisions. If any provision of these Terms of Service is judged illegal, invalid, or otherwise unenforceable, that provision shall be severed and the rest of these Terms of Service shall remain in full force and effect. No failure by Cisco to enforce any of its rights related to the Developer Sandbox or Services or to a breach of these Terms of Service in a particular situation will act as a waiver of such rights.
