Webex Connect Integrations Studio Terms of Service
These Webex Connect Integrations Studio Terms of Service ("Terms of Service") govern Your (as defined below) (i) access to and use of the Webex Connect Integrations Studio (“Integrations Studio”), (ii) use of the online Services (as defined below) provided as part of the Integrations Studio, (iii) configuration and/or development of integrations ("Integrations") using the Services, (iv) submission of Integrations for listing and use within Webex Connect and all related sites ("Webex Connect"), and (v) Your or Cisco’s use of Your Integrations, or Cisco’s listing of Your Integrations in Webex Connect, as provided below and subject to Your terms of service, privacy policy, support and support information.
By accessing and using the Integrations Studio, the Services and/or Webex Connect, you agree to be bound by these Terms of Service with Cisco Systems, Inc. ("Cisco"). If you are accepting the Terms of Service on behalf of an entity, you represent that you have the authority to do so (either you or the entity (if you are signing for an entity), "You" or "Your").
1. Webex Connect Integrations Studio
The Integrations Studio available at https://integrations-studio.webexconnect.io/ is a platform developed by Cisco to provide users of Webex Connect (available at https://subdomain.webexconnect.io with (i) pre-built nodes, events and APIs and (ii) related resources ((i) and (ii) collectively, "Services"). You can use the Integrations to connect other tools to or build packaged solutions for Webex Connect. You can submit Your Integrations in the Integrations Studio for Cisco's review and brief testing for compatibility with Webex Connect. If approved by Cisco, your Integration will be listed within Webex Connect and on the Integrations Hub defined below.
2. Webex Connect Integrations Hub
The Webex Connect Integrations Hub (“Integrations Hub”) available at https://integrations-hub.webexconnect.io/ is a site hosted by Cisco to promote Integrations approved by Cisco, and to make them available for Webex Connect users. Besides review and brief testing for compatibility with Webex Connect, Cisco does not perform any other testing and does not warrant or support Your Integrations. Webex Connect users can access Your Integrations from Webex Connect subject to Your terms of service, privacy policy, support and support information. You are required to provide links to Your terms of service and applicable policies on the Integrations Studio for publishing by Cisco on the Integrations Hub and You are responsible for ensuring the links, terms and policies are maintained and kept up to date on the Integrations Studio.
3. Licenses
3.1 By using the Services to configure and/or develop Your Integrations, You grant Cisco a worldwide, royalty-free, fully paid-up, sublicensable license to: (a) review and test Your Integrations, (b) use Your Integrations, and (c) use the trade names, trademarks, service marks, logos and domain names posted with Your Integrations ("Your Names") while Your Integration is in use.
3.2 By submitting Your Integrations to the Integrations Studio, You grant Cisco a worldwide, royalty-free, fully paid-up, sublicensable license to: (a) list, publish, display and make Your Integrations available in Webex Connect and on the Integrations Hub, (b) remove Your Integrations from Webex Connect and the Integrations Hub for violations of the Terms of Service, (c) use Your Names with Your Integrations in Webex Connect while Your Integration is available in Webex Connect and/or the Integrations Hub, and (d) use Your Names in marketing materials and on our website in connection with promoting and publicizing Your Integration. Such use inures solely to your benefit.
3.4 Cisco grants You a non-exclusive, non-transferable, non-sublicensable license to use Webex Connect APIs and associated documentation available at https://developers.imiconnect.io and https://help.imiconnect.io(“Webex Connect APIs”) to develop, test, support and use Your Integrations.
3.5 Further limitations may apply as listed in documentation for Webex Connect .
4. Trademarks
4.1 Cisco™, Webex™, Webex ConnectTM, and the Webex logo ("Cisco Trademarks") are trademarks and/or registered trademarks of Cisco and/or its affiliates. All third-party trademarks and logos referenced are property of their respective owners. The appearance of third-party trademarks on the Integrations Studio, Integrations Hub and Webex Connect does not constitute an endorsement, sponsorship or recommendation thereof by Cisco or its affiliates.
4.2 Subject to the terms and conditions of these Terms of Service, Cisco grants You a royalty-free, non-exclusive, non-transferable, non-sublicensable license to use the Cisco Trademarks solely for the purpose of identifying Your Integrations as compatible with Webex Connect. During Your use of the Cisco Trademarks, You agree to abide by a) any Cisco trademark usage guidelines that may be provided to You by Cisco and b) Cisco's trademark policy, found at https://www.cisco.com/web/about/ac50/ac47/about_cisco_policies_list.html (collectively, "Cisco's Policies"). Cisco's Policies are hereby incorporated by reference and are subject to change without notice. If Cisco determines that Your use of Cisco Trademarks does not comply with these Terms of Service or Cisco's Policies, Cisco will notify You of the deficiency and give You 14 days to remediate. If You fail to do so within14-days , Cisco may immediately terminate the license granted under this section by giving notice to You and You will immediately cease all use of Cisco Trademarks.
4.3 You agree not to incorporate any Cisco Trademarks or portions thereof into the name or logo of Your Integrations. For example purposes only, you may not use "Cisco," "Webex," “Webex Connect”, or other confusingly similar language in the title of Your Integrations, or any confusingly similar logos that would imply an endorsement or sponsorship by Cisco of Your Integrations.
5. Use of Data
5.1 Cisco will use all Developer Data (as defined below) You or anyone acting on Your behalf provides or transfers to Cisco in accordance with these Terms of Service and the Cisco Online Privacy Statement located at https://www.cisco.com/c/en/us/about/legal/privacy-full.html. Developer Data may be used to analyze and understand how You are using Webex Connect and the Integrations Studio. "Developer Data" means i) any data provided or generated by You when using the Integrations Studio and/or Webex Connect and ii) usage statistics from Webex Connect about Your Integrations.
5.2 “Webex Connect Data” means any Cisco end-user data collected, uploaded, posted, transmitted or otherwise made available via Webex Connect relating in any way to the end-user’s use of Webex Connect), including messages, files, profile information, flow information, transaction/debug logs, personal and non-personal data . You shall not collect or store any Webex Connect Data without the end-user’s authorization. You acknowledge that Cisco may collect, and process Webex Connect Data as agreed upon between Cisco and Cisco’s end-users, including as set forth in Cisco’s Privacy Statement and applicable Privacy Data Sheets. Cisco shall not be liable for any Webex Connect Data retained, or otherwise processed by You or Your Integration.
5.2 Cisco is not responsible or liable for anything submitted by You or other users to the Integrations Studio and/or Webex Connect or for modifying or removing Your Data or Others' Data from the Integrations Studio or Webex Connect.
6. Ownership
6.1 You retain all right, title and interest in and to Your Integrations and Your Names. We may use Your Integrations and Your Names solely as required in connection with Your use of the Integrations Studio, the Integrations Hub and Webex Connect.
6.2 Cisco or its licensors retain ownership in all intellectual property rights to the Integrations Studio, the Integrations Hub, Webex Connect and their underlying technology, software, patents, know-how and associated documentation, in whole or in part, including all improvements, enhancements, modifications and derivative works, and any Data owned by Cisco ("Cisco Data") except for Your Data and Data of other users of the Integrations Studio and Webex Connect ("Others' Data"). Cisco reserves all rights to the Integrations Studio, Integrations Hub and Webex Connect that are not expressly granted under these Terms of Service.
7. Feedback
We welcome Your ideas, suggestions, documents, and/or proposals ("Feedback") about the Integrations Studio and Webex Connect and look for ways to implement them wherever possible. By submitting Feedback to Cisco, You acknowledge and agree that: (a) Your Feedback does not contain confidential or proprietary information; (b) Cisco is under no obligation of confidentiality, express or implied, with respect to the Feedback; (c) Cisco shall be entitled to use or disclose such Feedback for any purpose, in any way, in any media, worldwide; (d) Cisco may already be developing a solution or solution component related to the Feedback; (e) Your Feedback becomes the property of Cisco without any obligation to You; and (f) You are not entitled to any compensation for such Feedback.
8. Your Obligations
8.1 You will not intentionally (a) interfere with other Cisco end-user access to, or use of, Webex Connect, the Integrations Studio and the Integrations Hub or with their security; (b) facilitate the attack or disruption of Webex Connect, the Integrations Studio and the Integrations Hub , including a denial of service attack, unauthorized access, penetration testing, crawling, or distribution of malware (including viruses, trojan horses, worms, time bombs, spyware, adware, and cancelbots); or (c) cause an unusual spike or increase in Your use of Webex Connect, the Integrations Studio and the Integrations Hub that negatively impacts its operation.
8.2 You may not use the Integrations Studio, the Integrations Hub or Webex Connect to advertise, promote, endorse or market, directly or indirectly, any products, services, offerings, solutions or other technologies that, in Cisco's sole discretion, compete with the products, services, offerings, solutions or technologies of Cisco.
8.3 You will not sell, resell, distribute, rent or lease Services, include Services, or otherwise commercialize Services except as integrated within your Integration.
8.4 You may not use any Cisco Data or others' data from the Integrations Studio, the Integrations Hub or Webex Connect in any advertisements or for purposes of targeting advertisements.
8.5 You may not use contact information of other users of the Integrations Studio or Webex Connect to contact such users outside of the Integrations Studio or Webex Connect without their consent.
8.6 You represent and warrant that (i) You own or have the necessary rights and licenses to Your Integrations, Your Names and Your Content to be used by Cisco as provided under these Terms of Service; and (ii) Your use of the Integrations Studio, and Webex Connect and Your Integrations comply with all applicable laws and will not violate any applicable law or regulation, including privacy laws, of any country in which Your Integrations are made available, or rights of any third party, including but not limited to privacy, publicity or intellectual property rights.
8.7 You acknowledge and agree that Cisco does not certify, warrant or support Your Integration and You represent and warrant that You will not make any statements to the contrary that imply an endorsement, certification, warranty or support of Your Integrations by Cisco or Your affiliation or partnership with Cisco.
8.8 You acknowledge and agree that Cisco is not responsible for Your conduct or the conduct of any other user of the Integrations Studio and Webex Connect.
8.9 If any portion of the Integrations Studio, Webex Connect, or Integrations Hub Site requires You to register, You will provide true and accurate information in Your user profile.
8.10 You are solely responsible for Your interactions with other users of the Integrations Studio and Webex Connect.
8.11 You must present a privacy policy to Your Integration’s end-users. Your privacy policy must meet applicable legal standards and accurately describe Your collection, use, storage and sharing of any personal data.
8.12 You are solely responsible for the development, maintenance, and support of Your Integration.
8.13 You will design, develop and operate Your Integration in a way that does not contain any security vulnerabilities. If Your Integration stores personal or sensitive information provided by end-users, it must do so securely.
8.14 You are responsible for maintaining the confidentiality of Your Integrations Studio credentials and You are solely responsible for all Integrations that are developed under Your credentials.
8.15 You will not scrape, or otherwise create copies of any data obtained using Webex Connect except as necessary to enable the intended feature of your Integration and with express consent of Cisco’s end-users.
8.16 Your Integration should operate as stated or promoted when submitted to the Integration Studio for publishing on the Integrations Hub and for use with Webex Connect.
9. Cisco's Rights
Cisco may amend the Terms of Service from time to time. If You do not agree with such changes, You should discontinue using the Integrations Studio and Webex Connect and remove all Your Integrations from Webex Connect and the Integrations Hub. Your continued use of the Integrations Studio and Webex Connect and listing of Your Integrations on Webex Connect and the Integrations Hub will mean that You agree to such changes to the Terms of Service.
10. Support
Cisco's Support team may be available to help You with the Integrations Studio and Webex Connect. There are two ways to get support. If Your question is private or You have sensitive logs to share, email via webexcpaas.techsupport@cisco.com may be the best option. Notwithstanding the foregoing, Cisco is not obligated to provide any support to you for the Integrations Studio and Webex Connect.
11. Disclaimer of Warranties
CISCO PROVIDES THE INTEGRATIONS STUDIO, THE INTEGRATIONS HUB, WEBEX CONNECT AND CISCO TRADEMARKS ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL EXPRESS AND IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SATISFACTORY QUALITY, NON-INTERFERENCE, AND ACCURACY, ARE HEREBY EXCLUDED AND EXPRESSLY DISCLAIMED BY CISCO. CISCO DOES NOT WARRANT THAT THE INTEGRATION STUDIO THE INTEGRATIONS HUB AND WEBEX CONNECT ARE SUITABLE FOR YOUR USE, AND NO SERVICES THAT YOU RECEIVE FROM THE INTEGRATIONS STUDIO, THE INTEGRATIONS HUB AND WEBEX CONNECT SHALL CREATE ANY WARRANTY.
12. Indemnity
You agree to defend, indemnify and hold Cisco, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, action or demand (including reasonable attorneys' fees) any third party may have arising out of or related to: (i) Your use of the Integrations Studio and/or Webex Connect; (ii) Your breach of these Terms of Service; (iii) Your improper use of Cisco Trademarks; (iv) Your Integrations; and (v) You use of end -user data, including Webex Connect Data.
13. Limitation of Liability
EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL CISCO BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFIT DAMAGES, COSTS OF REPLACEMENT GOODS OR LOSS OF OR DAMAGE TO DATA ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OR INABILITY TO USE THE INTEGRATIONS STUDIO, THE INTEGRATIONS HUB OR WEBEX CONNECT, OR THE IMPROPER USE OF CISCO TRADEMARKS, EVEN IF CISCO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, CISCO'S LIABILITY TO YOU FOR ANY CAUSE(S) WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO ONE THOUSAND UNITED STATES DOLLARS (USD $1,000.00). THIS LIMITATION OF LIABILITY IS CUMULATIVE AND NOT PER INCIDENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN KINDS OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Term and Termination
The Terms of Service start on the date You begin using the Integrations Studio or Webex Connect and end when Your use of the Integrations Studio and Webex Connect are discontinued, and Your Integrations are removed from Webex Connect and the Integrations Hub. Cisco may modify or terminate or stop maintaining the Integrations Studio, Integrations Hub or Webex Connect at any time and without notice. Cisco may immediately suspend or terminate Your access to the Integrations Studio and Webex Connect and remove Your Integrations from Webex Connect and the Integrations Hub if in Cisco’s sole discretion You violate or otherwise fail to comply with these Terms of Service.
The following Sections survive any termination of these Terms of Service: 4.1, 4.3, 5-9 and 11-16.
15. Export
The Services are subject to local and extraterritorial export control laws and regulations. Cisco and You agree to comply with such laws and regulations governing use, export, re-export, and transfer of the Services and will obtain all required local and extraterritorial authorizations, permits or licenses.
16. General
These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of California, excluding its conflict of laws provisions. If any provision of these Terms of Service is judged illegal, invalid, or otherwise unenforceable, that provision shall be severed, and the rest of these Terms of Service shall remain in full force and effect. No failure by Cisco to enforce any of its rights related to the Integrations Studio, the Integrations Hub or Webex Connect or to a breach of these Terms of Service in a particular situation will act as a waiver of such rights.
